End-user license agreement

A. INTRODUCTION

This is an agreement between you, the purchaser (and licensee), and Legend Systems CC (LegendSystems from here on).

Our software requires licenses for all devices that the software are installed on.

Your license to use our software is limited to the number of licenses purchased.

B. OWNERSHIP & GENERAL LICENSE OVERVIEW

B.1 By purchasing, downloading, opening the file package, and/or using LegendSystems’s Software (“software”), you agree that this End User License Agreement (EULA) is a legally binding and valid contract and agree to be bound by it. You agree to abide by the intellectual property laws and all of the terms and conditions of this Agreement.

B.2 Subject to the terms of this Agreement, LegendSystems grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use the software in accordance with this Agreement and any other written agreement with LegendSystems. LegendSystems does not transfer the ownership of the software to you; the license granted to you is not a sale. The software remains the intellectual property of LegendSystems.

B.3 The software and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part.

B.4 Each licensed copy of the software may be used on one single location within your organisation. Use of the software means that you have loaded, installed, or ran the software on a computer or similar device.

B.5 This Software contains copyrighted material, trade secrets and other proprietary material of LegendSystems. You shall not, and may not attempt to, reverse engineer, disassemble, decompile or open our software in any font editing software.

B.6 Due to the nature of software, our software are non-returnable & non-refundable. If you do have any trouble installing or using our software, we will replace it within 48 hours. That will be the limit of our liability.

C. LIABILITY & WARRANTIES

C.1 In no event (including, without limitation, in the event of negligence) will LegendSystems be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, software or the use or inability to use the software or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

C.2 Except as expressly stated in writing, LegendSystems makes no representation or warranties in respect of this software and expressly excludes all other warranties, expressed or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose.

D. TERMINATION

Without prejudice to any other rights, LegendSystems may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, the license will be terminated and all copies of the software must be deleted and no refunds may be claimed.

E. GOVERNING LAW

This Agreement shall be governed by the law of South Africa. The courts of Johannesburg, South Africa shall have jurisdiction.
